PLEASE READ THESE TERMS OF SERVICE (“AGREEMENT” OR “TERMS OF SERVICE”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY BEARLY.AI. THIS AGREEMENT SETS FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE BEARLY.AI WEBSITE AND ALL RELATED SERVICES AND APPLICATIONS, INCLUDING, WITHOUT LIMITATION, ANY FEATURES, CONTENT, WEBSITES (INCLUDING WWW.BEARLY.AI) OR APPLICATIONS OFFERED FROM TIME TO TIME BY Bearly AI IN CONNECTION THEREWITH (COLLECTIVELY “SERVICE(S)”). BY USING THE SERVICES IN ANY MANNER, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

Acceptance of Terms of Service

The Service is offered subject to acceptance without modification of all of these Terms of Service and all other operating rules, policies and procedures that may be published from time to time in connection with the Services by Bearly AI. In addition, some services offered through the Service may be subject to additional terms and conditions promulgated by Bearly AI from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Service by this reference. Bearly AI may, in its sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Service is revoked in such jurisdictions.

Modification of Terms of Service

At its sole discretion, Bearly AI may modify or replace any of the Terms of Service, or change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, or content) at any time by posting a notice on the Bearly AI websites or Service or by sending you an email. Bearly AI may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check the Terms of Service periodically for changes. Your continued use of the Service following the posting of any changes to the Terms of Service constitutes acceptance of those changes.

We will provide any additional notice and obtain any agreement required by applicable law for material changes to these Terms.

Rules and Conduct

As a condition of use, you promise not to use the Service for any purpose that is prohibited by the Terms of Service. For purposes of the Terms of Service, the term “Content” includes, without limitation, any information, data, text, photographs, videos, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Service.

Agents, external tools, and Full access

Bearly’s agents can use enabled tools to carry out your instructions outside the chat. Depending on the tool and platform, this can include reading, changing, or deleting files; running programs; observing and controlling a computer or browser; and taking actions in connected accounts or signed-in apps and websites. These actions can disclose information, send communications, create commitments, incur third-party charges, or change external records.

Your authorization. You authorize Bearly to use enabled tools to carry out your instructions within your chosen permission settings and applicable access restrictions. You must have the rights and permissions needed for the accounts, systems, content, and actions you direct Bearly to use, including any required authority or consent concerning other people’s information. You remain responsible for the instructions you provide, the access you grant, and complying with applicable law and third-party terms. If you act for an organization, you must have authority to do so.

Organization administrators must be authorized to manage members’ eligibility and must provide any notices or obtain any permissions required by their organization and applicable law. Allowing eligibility does not replace a member’s explicit choice to activate Full access.

Permission modes. In interactive chats, Standard asks for approval when needed and honors saved approvals. Where available, selecting Full access authorizes enabled external tools to perform actions for your tasks without a separate Bearly approval prompt for each action. For a chat, Full access applies to one chat on one device and includes tools or accounts you deliberately enable later. You must explicitly activate it; organization eligibility alone does not activate a member’s chat. Restarting Bearly or returning after 24 hours away pauses Full access in that chat until you choose to resume.

Scheduled routines. Full access for a routine requires separate explicit approval on its installed desktop device. This authorizes unattended actions through that routine’s selected tools and accounts for its saved instructions. The approval survives app restarts and time away, but each run still requires current authorization. Material changes to saved instructions, scheduling, delivery or selected tool and account setup require renewed review. Copying or moving a routine does not transfer Full access approval. Standard routines retain their existing, separately enabled unattended permissions. Full access does not add operations or tools unavailable to Routines.

Full access does not override organization rules, operating-system permissions, required safety checks, account permissions, tool limitations, or applicable law. It does not itself authorize connecting another account or setting up a disabled tool. A selected working folder provides context and does not confine access to that folder. Tool availability differs by device, and choosing Full access on a phone does not give it desktop capabilities or activate access on another device. Scheduled Routines keep their own separate authorization requirements.

Risks and review. AI agents can misunderstand instructions, make incorrect changes, or be misled by content in files, websites, messages, or tool results. Full access reduces opportunities to catch mistakes before an action occurs. Review the tools and accounts you enable, monitor consequential work, and check results before relying on them. Use Standard in an interactive chat when you want action-approval prompts. Bearly does not guarantee that an agent will recognize every risk or that an action will succeed, be accurate, or be reversible.

Stopping and revoking access. You can stop a task or switch the chat or routine to Standard. Stop does not change the selected permission mode or a routine’s schedule. Switching to Standard preserves saved approvals, including separately enabled unattended routine permissions; Clear all permissions in a chat also removes that chat’s saved approvals. Changes to a routine made on another device take effect when they sync to its running device. Organization administrators can withdraw eligibility for managed members, but group administrators cannot grant it. Cancellation and revocation cannot undo completed actions or guarantee recall of requests already sent to an external service or work that continues outside Bearly’s control. Privacy and third parties. Information retrieved or generated by tools may be processed by Bearly, AI providers, and the external services involved in the task, as described in our Privacy Policy. Third-party services remain subject to their own terms and privacy practices. Full access is not a waiver of your privacy rights or consent to unrelated data use.

Age Requirements

Use of Bearly AI by anyone under 18 years of age is prohibited. You represent that you are at least the age of majority in the jurisdiction where you live or, if you are not, your parent or legal guardian must consent to these Bearly AI Terms of Service and affirm that they accept these Terms on your behalf and bear responsibility for your use.

Restricted Uses

You agree NOT to use Bearly AI to:

• Violate the rights of another party or any applicable laws
• Reverse assemble, reverse compile, decompile, translate or otherwise attempt to discover the source code or underlying components of models, algorithms, and systems of Bearly AI, or their underlying technologies
• Abuse, harm, interfere with, reverse engineer, or disrupt Bearly AI, or their underlying technologies
• Use unauthorized automation to access the Service, bypass access controls, or exceed applicable rate limits. Supported Bearly agents, tools, and Routines may be used within their available controls and these Terms
• Access, extract, or disclose data you are not authorized to access, or bypass the Service’s protections to do so
• Represent that Bearly AI Content is human-generated

Trademarks and Patents

All Bearly AI logos, marks and designations are trademarks or registered trademarks of Bearly AI. All other trademarks mentioned in this website are the property of their respective owners.

Termination

Bearly AI may terminate your access to all or any part of the Service at any time if you fail to comply with these Terms of Service, which may result in the forfeiture and destruction of all information associated with your account. Any fees paid hereunder are non-refundable. Upon any termination, all rights and licenses granted to you in this Agreement shall immediately terminate.

Indemnification

You shall defend, indemnify, and hold harmless Bearly AI, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all liabilities, losses, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to (i) your use or misuse of, or access to, the Service, or (ii) your violation of the Terms of Service or any applicable law, contract, policy, regulation or other obligation.

Limitation of Liability

IN NO EVENT SHALL Bearly AI OR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICE FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER.

Disclaimer

ALL USE OF THE SERVICE AND ANY CONTENT IS UNDERTAKEN ENTIRELY AT YOUR OWN RISK. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” AND IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

Nothing in these Terms, including the Full access acknowledgment, indemnification, limitations of liability, or disclaimer, excludes or limits rights, remedies, or liability that cannot lawfully be excluded or limited under applicable law.

Miscellaneous

The Terms of Service are the entire agreement between you and Bearly AI with respect to the Service, and supersede all prior or contemporaneous communications and proposals between you and Bearly AI with respect to the Service.
